Tracemill Add-on for Splunk End User License Agreement

1. Agreement and scope

This End User License Agreement ("EULA") is between Tracemill, Inc., a Delaware corporation ("Tracemill," "we"), and the business or organization that installs or uses the Tracemill Add-on for Splunk ("Customer," "you"). The "Add-on" is the TA-tracemill software package, in any version, and its documentation, whether obtained from Splunkbase, tracemill.io or dl.tracemill.io. The person installing it represents authority to accept this EULA for Customer.

The Add-on is a client of the hosted Tracemill service. Your use of that service is governed by the Terms of Service or a separately signed agreement covering it, together with their incorporated documents (the "Agreement"). This EULA governs the license to the Add-on itself. Capitalized terms not defined here have the meanings given in the Agreement. If this EULA and the Agreement conflict about the Add-on, this EULA controls; the Agreement controls everything else.

2. License

While you have an active subscription or trial under the Agreement, we grant you a nonexclusive, nontransferable, non-sublicensable license to install and run the Add-on on Splunk deployments you operate or that are operated for you, including Splunk Cloud stacks, solely to connect them to the Tracemill service for your internal business purposes. You may make copies reasonably needed for that deployment, backup and testing. Your employees and contractors may operate the Add-on on your behalf; you are responsible for their compliance. There is no license to use the Add-on without an Agreement.

3. Restrictions

You may change the Add-on's configuration through its settings pages and the Splunk configuration files intended to be edited locally. Otherwise, you must not:

modify, translate or create derivative works of the Add-on;
sell, resell, rent, lease, sublicense, distribute or host the Add-on for third parties, or use it to provide services to third parties, except as the Agreement expressly permits;
reverse engineer, decompile or disassemble any part of the Add-on distributed only in compiled form, except to the extent applicable law permits despite this restriction;
bypass or interfere with its security features, its version-compatibility checks or the service's usage controls;
use it to build a competing product or service; or
remove or alter proprietary, license or attribution notices.

The Add-on is shipped as readable source code so it can be reviewed and vetted. Reading it for security review, troubleshooting or compatibility with your environment is permitted.

4. Third-party components

The Add-on includes third-party software listed in its LICENSES/NOTICE.txt file. Each component is licensed under its own terms, reproduced or referenced there. Nothing in this EULA limits your rights, or imposes restrictions, under those licenses.

5. Data

The Add-on sends data only to the Tracemill API endpoint you configure. The data it sends is described in its README under "Data sent to Tracemill" and in its documentation. That data is Customer Data under the Agreement and is processed under the Data Processing Addendum. The Privacy Notice describes the processing Tracemill performs for its own purposes.

You are responsible for configuring which Splunk apps the Add-on reports on and for any proxy, certificate authority and credentials you give it. Credentials you enter are stored in your Splunk deployment's encrypted credential store.

6. Updates and supported versions

We may release new versions of the Add-on. We may deprecate a version and, after notice through the Add-on, the service or its documentation, stop supporting it. The service may then decline validation work from that version until you upgrade. You are responsible for installing updates. Support for the Add-on is provided as part of support for the service under the Agreement.

7. Ownership and feedback

Tracemill and its licensors own the Add-on and all intellectual property rights in it. The Add-on is licensed, not sold. We reserve all rights not expressly granted. Feedback about the Add-on is governed by the Agreement's feedback terms.

8. Term and termination

This EULA applies from the time you install the Add-on until it ends. It ends automatically when your Agreement ends, and we may terminate it if you materially breach it and fail to cure within 30 days after written notice. When it ends, stop using the Add-on and delete it from your Splunk deployments. Sections 3, 4, 7, 9 and 10 survive.

9. Warranty and liability

For purposes of the Agreement's warranty disclaimers, limitations of liability and third-party-claim provisions, the Add-on is part of the service, and those provisions apply to it. Any use of the Add-on without an Agreement is unlicensed; to the maximum extent permitted by law, such use is at your own risk, the Add-on is provided "as is" without any warranty, and Tracemill has no liability arising from it.

10. General

Each party will comply with applicable export controls, sanctions and anti-corruption laws. You must not export, re-export or provide the Add-on to prohibited persons or destinations, or for prohibited end uses.

The Add-on is commercial computer software. U.S. government end users acquire it only with the rights granted in this EULA, consistent with FAR 12.212 and DFARS 227.7202.

Splunk Inc. and its affiliates are not parties to this EULA and have no obligations or liability for the Add-on. Distribution through Splunkbase does not make Splunk responsible for it.

The Agreement's provisions on governing law, disputes, notices and assignment apply to this EULA. A new version of this EULA applies only to versions of the Add-on released with it; each installed version remains governed by the EULA it shipped with.
